Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NOI Enterprise Solutions, LLC, a Florida limited liability company doing business as NOI Quant Systems ("NOI," "we," "us," or "our").

By purchasing, accessing, or using any NOI Quant Systems products or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not purchase or use our products.

You must be at least 18 years of age to purchase or use our products. By agreeing to these Terms, you represent that you are at least 18 years old.

We reserve the right to update these Terms at any time. Continued use of our products after changes constitutes acceptance of the revised Terms.

2. Product Description

NOI Quant Systems provides algorithmic trading software ("Algorithms") designed for use with the NinjaTrader 8 platform. Our products include:

• NOI Trinity — Multi-engine voting system
• NOI Composite Pro — High-conviction confluence algorithm
• NOI Navigator — Trend-following R² regression system
• NOI Volatility Scalper — ATR-based volatility expansion strategy
• NOI Sweep Hunter — Liquidity sweep detection system

3. License Grant

Upon purchase, NOI grants you a personal, non-exclusive, non-transferable, revocable license to use the purchased Algorithm(s) subject to the following conditions:

• License is for personal use only
• License is limited to a maximum of two (2) computers or NinjaTrader installations per user
• License is activated via a unique license key tied to your account
• You may not resell, share, distribute, sublicense, lease, or transfer your license to any third party
• You may not reverse engineer, decompile, disassemble, or attempt to extract the source code of any Algorithm
• You may not modify, create derivative works from, or remove any proprietary notices from the Algorithms
• You may not use the Algorithms in a commercial capacity (e.g., managed accounts, signal services) without prior written permission from NOI

This license does not constitute a sale or transfer of ownership. All intellectual property rights in the Algorithms remain with NOI Enterprise Solutions, LLC.

4. Pricing & Payment

Membership Options

• Founding Member ($5,997 one-time) — Lifetime access to all 5 Algorithms, all future Algorithm releases, Discord community, weekly live Q&A sessions, 1-on-1 onboarding call, priority support, and lifetime updates.
• Monthly Access ($497/month) — Access to all 5 Algorithms, Discord community, weekly live Q&A sessions, email support, and updates while subscribed. Cancel anytime.

Individual Algorithm Pricing

• NOI Trinity — $2,397 (Founding Member Price) / $3,997 (Standard)
• NOI Composite Pro — $1,497 (Founding Member Price) / $2,497 (Standard)
• NOI Navigator — $2,997 (Founding Member Price) / $4,997 (Standard)
• NOI Volatility Scalper — $1,497 (Founding Member Price) / $2,497 (Standard)
• NOI Sweep Hunter — $1,197 (Founding Member Price) / $1,997 (Standard)

All prices are in US Dollars (USD). Payments are processed securely via Stripe. We do not store your payment card information.

5. Refund Policy

Due to the digital nature of our products and the immediate delivery of license keys, all purchases are non-refundable. By completing a purchase, you acknowledge and accept this policy.

We encourage you to review all available information — including performance data, FAQ, and product descriptions — before making a purchase decision. You may also join a live Q&A session or contact us with questions prior to purchasing.

Initiating a chargeback or payment dispute after receiving your license key may result in immediate revocation of your license and termination of your account.

6. Subscription Terms

For Monthly Access subscriptions:

• Your subscription will automatically renew each month until cancelled
• You may cancel your subscription at any time through the Stripe customer portal
• Upon cancellation, you will retain access until the end of your current billing period
• No prorated refunds will be issued for partial months
• If payment fails, your access may be suspended until payment is resolved

7. Delivery & Access

Upon successful payment:

• Your license key(s) will be delivered via email within 24 hours (typically within minutes)
• Installation instructions and documentation will be provided
• Discord community invite will be sent within 24 hours
• Founding Members will be contacted to schedule their 1-on-1 onboarding call

8. Updates & Support

Updates

• Founding Members: Receive lifetime updates to all purchased Algorithms, plus free access to all future Algorithm releases
• Monthly Subscribers: Receive updates while subscription is active
• Individual Purchases: Receive lifetime updates to the purchased Algorithm(s)

Support

Support is available via Discord community and email (support@noiquant.com). We aim to respond within 48 hours.

Support includes:

• Installation and setup assistance
• Technical troubleshooting
• License key issues
• Platform compatibility questions

Support does not include:

• Personalized trading advice or recommendations
• Account management or trade execution
• Broker-specific issues outside our control
• Customization or modification of Algorithm code

9. Risk Disclaimer

By using NOI Quant Systems products, you acknowledge and agree that:

• Trading futures, options, and other derivatives involves significant risk and can result in losses exceeding your initial investment
• Past performance is not indicative of future results
• Performance data shown (including backtested and forward-tested results) has inherent limitations and may not reflect actual trading results
• Simulated or hypothetical trading programs are designed with the benefit of hindsight and do not account for financial risk in actual trading
• You should only trade with capital you can afford to lose
• You are solely responsible for your own trading decisions and results

10. No Financial Advice

NOI Enterprise Solutions, LLC is not:

• A registered investment advisor
• A broker-dealer
• A commodity trading advisor (CTA)
• Registered with the SEC, CFTC, NFA, or any other regulatory body

Nothing on our website or in our products constitutes financial, investment, tax, or legal advice. All information is provided for educational and informational purposes only. You should consult with qualified professionals before making any financial decisions.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• NOI Enterprise Solutions, LLC shall not be liable for any trading losses, lost profits, or financial damages resulting from the use of our Algorithms
• We are not liable for technical failures, platform outages, broker issues, data feed problems, or any other circumstances outside our direct control
• Our total liability for any claim arising from these Terms or your use of our products shall not exceed the amount you paid for the product(s) at issue
• In no event shall NOI be liable for any indirect, incidental, special, consequential, or punitive damages

Some jurisdictions do not allow limitations on implied warranties or liability, so some of the above limitations may not apply to you.

12. Intellectual Property

All Algorithms, code, documentation, trademarks, logos, website content, and other materials are the exclusive property of NOI Enterprise Solutions, LLC and are protected by copyright, trademark, and other intellectual property laws.

Your purchase grants you a license to use the Algorithms — it does not transfer ownership of any intellectual property. You may not claim any Algorithm as your own work or represent that you created it.

13. Prohibited Uses

You agree not to:

• Share your license key or login credentials with any third party
• Redistribute, resell, or sublicense any Algorithm
• Use the Algorithms to operate a signal service, copy trading service, or managed account without written permission
• Attempt to bypass, disable, or circumvent any license protection mechanisms
• Use the Algorithms for any illegal purpose
• Misrepresent your affiliation with NOI or claim endorsement by NOI

14. Account Termination

NOI reserves the right to revoke your license and terminate your account at any time if you:

• Violate any provision of these Terms
• Engage in fraudulent activity or initiate an unauthorized chargeback
• Share, distribute, or resell your license or the Algorithm(s)
• Engage in conduct that harms NOI's reputation or business

No refund will be issued if your account is terminated due to a breach of these Terms.

You may cancel your Monthly subscription at any time through the Stripe customer portal. Access will continue until the end of your billing period.

15. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of our products shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Notwithstanding the above, NOI reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NOI Enterprise Solutions, LLC regarding your use of our products and supersede any prior agreements or understandings.
